Payward, the parent company of major US exchange Kraken, has closed its acquisition of Bitnomial, a crypto derivatives platform regulated by the Commodity Futures Trading Commission (CFTC). The deal expands Kraken's ability to offer regulated derivatives products in the United States.

Bitnomial operates as a designated contract market (DCM) under CFTC supervision, providing a fully licensed infrastructure stack that covers trading, clearing, and brokerage functions. This acquisition gives Payward direct access to CFTC-regulated derivatives offerings without relying on third-party partners, strengthening the company's position in the US crypto derivatives market.

The move reflects Kraken's strategy to build compliance depth across product lines. While Kraken operates as a spot exchange under various state money transmitter licenses, derivatives trading has historically been a secondary offering. Owning a CFTC-regulated DCM changes that calculus, allowing the platform to compete more directly with CME Group and other established derivatives venues.

Bitnomial previously launched Bitcoin and Ethereum futures contracts with CFTC approval. The acquisition provides Payward with operational experience in futures settlement, margin management, and regulatory reporting that CFTC oversight demands. This infrastructure becomes increasingly valuable as the agency tightens supervision of spot crypto markets while explicitly welcoming derivatives platforms that meet its standards.

The timing matters. The CFTC has signaled openness to crypto derivatives products under its authority, positioning itself as the primary regulator for institutional cryptocurrency trading.
